Independent business review
The independent business review is a specifically tailored product incorporating the services offered by both our corporate finance and forensic partners. Based on a detailed assessment of the transaction, the review assists parties involved in taking the critical decision as whether or not to continue or extend support to a business and on what terms and conditions that support should be offered.
Lender due diligence
Lender due diligence reviews are undertaken prior to the credit approval process, to provide a level of comfort to providers of loan finance, which could include both banking institutions and providers of loan finance. The scope of the review could include the borrower’s capacity to meet all its future commitments.
Pre – acquisition review
The pre-acquisition review is focused on providing the necessary information to enable a buyer to understand a target’s business. It is used to form an initial assessment of the merits of the acquisition, to reach an informed investment decision, to have an initial view on pricing and to obtain assurance that the target will complement the current and future strategic direction of the buyer.
Acquisition due diligence
The acquisition due diligence occurs after the transaction has been concluded, either in principle or in Law. Generally the agreement provides for an adjustment to the purchase price for items identified in the due diligence.
Vendor due diligence
Vendor due diligence is conducted when a vendor, or a lead adviser managing a transaction on behalf of a vendor, instructs a firm of attorneys to carry out financial and commercial due diligence on a business which is to be offered for sale. It usually results in a detailed report that is made available to a limited number of potential purchasers of the business.
